This Independent Contractor Agreement ("Agreement") is made effective as of [Date], by and between Joe's Roadside Assistance ("Company") and [Technician's Full Name

("Contractor").
1. Independent Contractor Status
The Contractor acknowledges and agrees that they are an independent contractor and not an employee of the Company. The Contractor shall have no authority to bind the Company or represent themselves as an employee or agent.
2. Scope of Services
The Contractor agrees to provide roadside assistance services, including but not limited to:

Battery jump-starts.

Tire changes.
-
Lockout services.
-
Fuel delivery.
-
Basic roadside diagnostics.
The Contractor will perform services using their own tools, equipment, and vehicle.
3. Compensation
The Company agrees to pay the Contractor as follows:

4. Responsibilities of the Contractor
The Contractor is responsible for the following:

Providing their own vehicle, tools, and equipment.

Carrying comprehensive general liability and automobile insurance with limits not less than State Standard.
Proof of insurance and licensing must be provided to the Company upon request.
5. Service Area
The Contractor agrees to operate within the designated service area as outlined in Schedule A. Travel outside this area will require prior approval.
6. Performance Standards
The Contractor agrees to:

Respond to service requests promptly, typically within [XX] minutes.

Conduct themselves professionally and courteously with all customers.

Ensure services are performed to a high standard of quality and safety.
7. Expenses
The Contractor shall be responsible for all expenses incurred in connection with the performance of services, including fuel, tools, vehicle maintenance, and insurance.

This Agreement will remain in effect until terminated by either party. Either party may terminate this Agreement with 1 day written notice.
9. Indemnification
The Contractor agrees to indemnify and hold harmless the Company from any claims, damages, or losses arising from the Contractor's performance of services under this Agreement.
10. Confidentiality
The Contractor agrees to maintain the confidentiality of all proprietary information related to the Company and its customers.
11. Non-Exclusivity
This Agreement does not restrict the Contractor from performing services for other clients. Similarly, the Company reserves the right to engage other independent contractors.
12. Dispute Resolution
Any disputes arising out of this Agreement shall be resolved through mediation, and if unresolved, binding arbitration in accordance with the rules of the American Arbitration Association.
13. Governing Law
This Agreement shall be governed by the laws of the State of [State].
14. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, or negotiations, whether written or oral.
